The PE modified material comprises PE recycled materials as well as a compatilizer and a compatilizer aid which are dispersed in the PE recycled materials, wherein the compatilizer aid is formed by compounding pentaerythrite tetra[beta-(3,5-di-tert-butyl-4-hydroxyphenyl) propionate] and tris-(2,4-di-tert-butyl-pheny)-phosphite. The compatilizer and the compatilizer aid are added to the PE recycled materials to modify the PE recycled materials, and the PE modified material is prepared. The compatilizer aid has a solubilization property and inoxidizability, compatibility between the compatilizer aid and the PE recycled materials can be further promoted, meanwhile, the oxidation resistance of the compatilizer aid is further sufficiently exerted, and a PE pipe prepared from the PE modified materials has excellent oxidation resistance. The invention further provides a preparation method of the PE modified material and the PE pipe processed from the PE modified material. The PE pipe has excellent oxidation resistance.
