The damping and noise-reducing wood-plastic composite PVC board comprises a five-layer compound structure which separately comprises a damping and noise-reducing layer, a resin glue bonding layer, a wood-plastic foaming plate layer, a resin glue bonding layer and a PVC compound layer from bottom to top, whereinthe PVC compound layer is of a four-layer compound structure, and comprises a PVC calendered sheet, a patterned film, a PVC transparent wear-resisting sheet and a UV coating from bottom to top; for the wood-plastic foaming plate layer, ultrafine calcium oxide powder with purity greater than 99% by weight and a grain size of 300-520 nm is selected as an adsorber; the board is further improved in that an ultrahigh-molecular-weight silicone processing aid not containing an organic carrier is added into the wood-plastic foaming board layer; and the damping and noise-reducing layer is one of a softwood cushion, an EVA foamed cushion and a PVC foamed cushion.
