The hair conditioner containing flaxseed extract is composed of flaxseed extract, main surfactant, cosurfactant, cation conditioner, a grease increasing agent, humectant, a thickening agent, a chelating agent and antiseptic. The preparation method comprises the following steps: successively adding the chelating agent, the thickening agent, the humectant and the cation conditioner into the flaxseed extract, carrying out uniform mixing and heating the obtained mixture to 75 to 85 DEG C, wherein the heated mixture is used as a phase A; uniformly mixing the main surfactant, the cosurfactant and the grease increasing agent and heating the obtained mixture to 75 to 85 DEG C, wherein the heated mixture is used as a phase B; subjecting the phase A to a water bath at a constant temperature of 85 DEG C, then carrying out homogenizing, adding the phase B into the phase A and continuing homogenizing and emulsification so as to obtain an emulsion; and cooling the emulsion to 40 to 45 DEG C, adding the antiseptic and carrying out cooling to room temperature so as to obtain the nourishing, moisture-retaining and hair-protecting-and-conditioning hair conditioner containing natural flaxseed extract.
