The invention provides a cold plate and a refrigerating system. The cold plate comprises an inlet pipe, an outlet pipe and a multi-layer entity formed by combining plates based on a multi-layer thin plate, wherein the multi-layer entity sequentially comprises at least one upper cover plate piece, at least one upper chamber plate piece, at least one middle plate piece, at least one lower chamber plate piece and at least one heat conduction plate piece from top to bottom, the upper chamber plate piece forms a hollow flow storage chamber, the middle plate piece forms a slender throttling groove channel, and the lower chamber plate piece forms a hollow evaporation chamber. The refrigerating system comprises the cold plate, a compressor, a condenser, a condensing fan, a connecting pipeline, a refrigerant, a clamping device and the like. When the compressor works, the high-pressure liquid refrigerant enters a liquid storage chamber through the inlet pipe, is throttled and depressurized through the throttling groove channel, generates the spray jet flow in the evaporation chamber, impacts the heat conduction plate piece and takes away heat of a heating element in contact with a lower surface of the heat conduction plate piece. The cold plate is advantaged in that the cold plate is compact in structure and high in heat flux density, and a heating element can be cooled to be below the environment temperature.
